Terms of service

The general terms for every project and service Tiaro Digital delivers. The offer you accept always comes first; these terms fill in everything it does not say. Last updated 3 October 2026.

1. Scope

1.1 These terms apply to all services of Tiaro Digital d.o.o. za usluge, Ulica Ivana Meštrovića 35, 10360 Sesvete, Croatia ("we", "us") for its clients ("you"): strategy, design, websites, online shops and catalogues, software and apps, AI and automation, digital marketing, hosting, maintenance and support.

1.2 For monthly and yearly plans, our subscription terms apply in addition. Where we process personal data on your behalf, our data processing agreement forms part of the contract.

1.3 The order of precedence is: the signed or accepted offer, then the subscription terms, then these terms. Your own general terms apply only if we accept them in writing.

1.4 Where you are a consumer, the mandatory rights the law gives you stay unaffected by anything in these terms. Clauses marked "business clients" apply only to companies, public bodies and people acting in their trade or profession.

2. Offer and contract

2.1 Every project starts with a written offer describing the work, the price, the schedule and what we need from you. An offer is valid for 30 days unless it says otherwise.

2.2 The contract is formed when you accept the offer in writing (a signature, or a clear "yes" by email is enough) or when you pay the first invoice.

2.3 The contract language is English. If you are a consumer in Croatia, we give you the contract terms and the information required before the contract in Croatian.

3. How we work together

3.1 We deliver the agreed work with care, according to the current state of the art, and keep you informed along the way.

3.2 You give us in time the content, access, decisions and feedback the work depends on, and name one contact person who can decide. If something from your side is late, our deadlines move by the same time.

3.3 Changes to the agreed scope are welcome. We tell you in writing what a change costs and how it affects the schedule before we start it.

3.4 We may involve carefully chosen subcontractors. We remain responsible for their work as for our own.

4. Your content

4.1 You confirm that you may use the texts, images, logos, data and other material you give us, and that publishing them does not infringe anyone's rights or the law.

4.2 You are responsible for the content of your website or application as its publisher, including your own legal pages. We will gladly point out problems we notice, but this is not legal advice.

5. Acceptance

5.1 When we finish a deliverable, we ask you to check it. Please report defects within 10 working days. If you do not, or once you start using the deliverable for real, it counts as accepted.

5.2 Minor defects that do not prevent use do not stop acceptance; we fix them anyway.

6. Prices and payment

6.1 Prices are those in the offer, in euro. We are currently not registered for VAT and charge none; if that changes, VAT is added at the legal rate to prices for business clients, and prices for consumers stay as stated.

6.2 Unless the offer says otherwise, we invoice projects in instalments as agreed in the offer, and every invoice is due within 15 days.

6.3 Costs of third parties that you order through us or that the offer names, such as domains, licences, stock material or advertising budgets, are charged separately. Advertising budgets are always paid on top of our fees.

6.4 If you pay late, we may charge statutory default interest under Croatian law. If an invoice is more than 30 days overdue and still unpaid 14 days after a written reminder, we may pause the work until it is paid.

7. Rights to the work

7.1 Once you have paid in full, you receive the rights you need to use, change and extend the delivered work for its purpose, without limit in time or territory: designs, texts we wrote for you, and code we wrote specifically for you.

7.2 Our own tools, frameworks, themes, plugins and libraries, including those we use across many projects, stay ours. You receive a non-exclusive, permanent, transferable licence to use them as part of the delivered work. You may move the work to another provider.

7.3 Third-party components (for example open-source software, fonts or photos) come under their own licences. We tell you about any that have conditions you need to know.

7.4 We never name you as a client and never show your work publicly without your written permission.

8. Confidentiality

8.1 We treat everything we learn about your business as confidential, during the contract and after it ends, and pass it on only to subcontractors who need it and are bound in the same way. This does not apply to information that is public or that we must disclose by law.

8.2 If you need a separate non-disclosure agreement, we will sign one.

9. Warranty

9.1 We remedy defects in our work free of charge. For consumers the statutory warranty under the Croatian Civil Obligations Act applies.

9.2 Business clients: we fix defects reported within 6 months of acceptance, first by repair; if repair fails twice, you may reduce the price or, for a substantial defect, withdraw from the affected part of the contract.

9.3 We cannot guarantee results that depend on others, such as search engine rankings, advertising performance or the behaviour of third-party services and platforms. We work towards them with care.

10. Liability

10.1 We are fully liable for damage we cause intentionally or through gross negligence, and for injury to life, body or health.

10.2 Business clients: for slight negligence we are liable only for breaches of essential contract obligations, limited to the damage typical and foreseeable for this kind of contract, and in total to the fees you paid us in the 12 months before the damage occurred. We are not liable for lost profit or indirect damage caused by slight negligence.

10.3 You are responsible for keeping your own copies of content you give us. Where we host or maintain a site, backups are part of the service as described in the subscription terms.

11. Termination

11.1 Projects end when the work is delivered and paid. Either side may terminate for good cause, in particular if the other side seriously breaches the contract and does not remedy it within 14 days of a written warning.

11.2 If a project ends early, you pay for the work done up to that point, and you receive it in its current state.

12. Right of withdrawal for consumers

12.1 If you are a consumer and conclude the contract at a distance (for example by email) or away from our premises, you may withdraw from it within 14 days of its conclusion without giving any reason, as the Croatian Consumer Protection Act provides. To do so, send us a clear statement, for example by email to info@tiaro.eu. Sending it within the 14 days is enough.

12.2 If you withdraw, we refund all payments within 14 days of receiving your statement, using the same payment method.

12.3 If you asked us to start work before the 14 days have passed, you pay a proportionate amount for the work done until you withdraw. If the service has been fully performed with your express prior consent and your acknowledgement that you lose the right of withdrawal on full performance, the right of withdrawal no longer applies.

13. Force majeure

Neither side is liable for delays caused by events beyond its reasonable control, such as natural disasters, war, large-scale outages of networks or energy supply, or official measures. The affected side informs the other without delay.

14. Final provisions

14.1 Croatian law applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, the mandatory protection of the law of the country where they live remains unaffected.

14.2 Business clients: the courts in Zagreb have exclusive jurisdiction.

14.3 Changes to a contract need written form; email is enough.

14.4 If a provision is invalid, the rest of the contract remains valid, and the invalid provision is replaced by one that comes closest to its purpose.

14.5 How to complain and how disputes can be resolved out of court is described in our legal notice.
